OEMs · Distribution · Specialist delivery

Bring proven capability to new markets.

Explore defined OEM, distribution and specialist delivery partnerships with an Indigenous-owned commercial platform. Capital partnerships are considered selectively where genuine operating capability and commercial fit justify them.

FORCES FITNESS · Rapid systems from above — the physical platform, not evidence of any partner agreement

A practical value exchange

Operating depth meets commercial accountability.

Pursue genuine Australian requirements with clear responsibilities and incentives. No promised pipeline, preferred evaluation or guaranteed return.

You bring

  • A proven offering and technical permissions
  • Qualified resources, operating depth and support
  • A credible market opportunity and funding where needed

FORCES brings

  • Genuine Indigenous leadership and governance
  • Commercial coordination and procurement relationships
  • Specialist integration and opportunity-led venture building

Three distinct routes

Defined agreements first. Equity only where it fits.

01 · Non-equity

OEM, distribution & licensing

Enter around a defined offering. Negotiate product permissions, territory, supply, manufacturing or integration, technical support and commercial terms. Your ownership remains unchanged.

02 · Operating delivery

Put specialist capacity to work

Agree who supplies, integrates, delivers and supports the work. Capacity, service footprint and accountable management are verified before commitment.

03 · Conditional future equity

Build around the real opportunity

A separately formed and funded specialist company, only where commercial fit justifies it. Not restricted to four sector names; no existing subsidiary or signed deal is represented.

Conditional future venture

Indigenous-controlled. Opportunity-led.

≥51 / ≤49

Saltwater ownership / collective external ownership

The parent remains 100% Indigenous-owned. Any future venture must retain genuine Indigenous management and control, not ownership in name alone.

Primary growth capital and secondary proceeds are negotiated with valuation, governance and IP terms. Funded Indigenous CEO or GM leadership follows closing where justified.

Your existing company and IP stay yours unless specifically agreed. Diligence and separate certification come before claims of eligibility. No award, investment or return is guaranteed.

Independent diligence, negotiated terms and genuine operating capacity come before commitment. Certification, eligibility, exclusivity and commercial returns are never automatic.

Commercial fit & non-equity operating agreements

Commercial options and independent qualification

Three distinct options

Defined agreements first. Future companies separately.

Choose the relationship that fits the scope, resources and commercial case. No equity transaction is required for supplier engagement or buyer work.

  1. 01 · Defined scope · No equity required

Non-equity distribution, operating & service agreements

Manufacturers, distributors, operators and service providers can discuss a defined supply, distribution or service agreement with FORCES. Permissions, qualifications, capacity and responsibilities are confirmed for the work. No new company or ownership change is required.

  2. 02 · Future defined company · Subject to review

Prospective minority financial or strategic capital

Financial or strategic investors may explore minority capital in a future defined operating company, where appropriate. Funding can support independently appointed management and qualified subcontracted delivery; investors need not own manufacturing capacity. This is an invitation to a private discussion, not a securities offer.

  3. 03 · Future venture · Verified delivery capacity

    Specialist operating ventures

Established capability operators may explore a separately formed and funded specialist venture, bringing real people, technical resources and delivery capacity. Funding, accountable operating management and verified specialist resources must be agreed before commitments are made.

Saltwater’s parent ownership remains 100% Indigenous. No operating subsidiaries or investments are represented as established. Future companies require legal review and their own applicable credentials, licences and eligibility; certificates do not transfer automatically. These discussions are not public securities offers and contain no valuation or return promises.

OEM market entry and operating incentives

OEMs & specialist operators

A credible Australian operating pathway.

Connect a real product or technical capability with Indigenous-led governance, qualified customer requirements and an accountable operating model. Market access is an opportunity to pursue, not a guaranteed pipeline.

Non-equity market entry
Explore distribution, manufacturing, integration or service agreements without changing your ownership. Product permissions, territory, commercial terms and service capacity are separately verified and negotiated.
Specialist operating incentives
Agree responsibilities for supply, technical delivery and through-life support. Supplier margins, licence arrangements and performance incentives depend on the scope and negotiated contract — none is assured.
Opportunity-led venture building
Where funding and commercial fit justify it, establish a specialist venture around the actual offering, including opportunities beyond the four sectors. Your existing company and intellectual property remain yours unless a specific transfer or licence is agreed.

Investment principles and illustrative concepts

Strategic Investment & Operating Ventures

A reusable framework for Indigenous-controlled specialist ventures.

FORCES GROUP is an Indigenous-owned strategic investment and operating platform. Where a qualified OEM or strategic investor brings a real offering, a new specialist venture can be designed around it — not confined to the existing divisions.

AUD 1m+Potential strategic capital discussions

For qualified OEMs and investors with a credible offering and funding capacity. Indicative discussion context only — not a compulsory investment minimum, valuation, capital commitment or securities offer. Commercial fit, funding requirements and terms are assessed individually.

  1. 01

    Built around your offering

A specialist venture is shaped around the investor's actual product, technology or delivery capability, and the market it serves.

  2. 02

    Saltwater ≥51%, genuine Indigenous control

Saltwater Country Services Pty Ltd holds at least 51% with genuine Indigenous ownership, management and control. Investors may hold up to 49%.

  3. 03

    Flexible capital structure

Transactions may combine secondary proceeds to Saltwater with primary growth capital into the venture, as agreed case by case.

  4. 04

    Leadership matched to the venture

Leadership is transaction-specific and funded after closing. An Indigenous CEO, GM or other appropriate executive structure must deliver genuine Indigenous management and control and meet applicable certification requirements; no appointment is automatic.

  5. 05

    Transaction-specific terms

Governance, valuation, board composition and reserved matters are negotiated for each transaction — never fixed by sector or division name.

  6. 06

    Qualified independently

Each venture is subject to due diligence, legal review and its own certification and eligibility assessments. Nothing transfers automatically.

Company structure, ownership and management

The proposed model

A new company with its own accountability.

Separately incorporated

Your existing business remains yours. A new specialist company is separately formed and funded to pursue, contract, invoice and deliver work in its own name.

Genuine Indigenous ownership

FORCES brings genuine Indigenous leadership and commercial and strategic control, enterprise relationships, project management and procurement and participation capability.

Accountable operating management

A capability investor can bring capital and delivery resources; a financial or strategic investor can fund independently appointed management and qualified subcontracted delivery. Funding, accountable management and verified delivery resources must be agreed for either model. Access to licences, intellectual property and resources is separately agreed, not automatically transferred.

Ownership terms

Saltwater retains at least 51% with genuine Indigenous management and control, including Indigenous involvement in day-to-day company management. External investors and partners collectively may acquire up to 49% under negotiated terms. The 100% Indigenous-owned Saltwater parent is not offered for sale. Certification, eligibility and awards are never automatic.

Our four technical capability areas operate today through Saltwater Country Services Pty Ltd. Where a funded operating partnership and commercial case justify it, a specialist business may be established in a separate operating company, with Saltwater retaining at least 51% ownership and effective Indigenous management and control. That company requires its own applicable registration, verification and procurement eligibility.

Qualification, procurement & commercial risk

Procurement eligibility and participation

The commercial opportunity

Build a specialist business with a wider route to market.

Bring funded, verified delivery capacity and an Indigenous-led enterprise interface into one accountable specialist business. Together, this can create a more competitive route to larger contracts and long-term enterprise value — without a promise of preferred evaluation, exclusivity or awarded work.

Qualifying Commonwealth pathways
An independently eligible Indigenous SME may be considered through IPP and Exemption 16 where permitted. Buyer decisions, value for money, approvals and reporting still apply. A new company must confirm its own ownership, control, certification and incorporated-JV requirements; there is no automatic award or universal tender exemption.
Prime-contractor participation
Genuine Indigenous supplier delivery can contribute to contract-specific participation objectives where the contract and measurement method permit. MMR applies only to qualifying contracts, not all Defence work. The aim is measurable Indigenous business value, not a procurement label.
Stronger delivery, clearer accountability
Combine verified specialist delivery capacity and its attributed track record with FORCES’ enterprise interface, embedded Indigenous Participation Standard and project coordination. Scope more comprehensive bids, regional mobilisation, compliance evidence and through-life support where capacity is verified. No tender win or evaluation preference is guaranteed.

July 2026 ownership and control changes, 2026–27 transition arrangements and separate venture qualification must be checked for the entity and procurement. See how the procurement routes work.

Partner resources and commercial risk

What a partner contributes

Agreed resources. Accountable management.

A venture is built on what each party verifiably brings — not on projections.

Two investor profiles

  • Capability investor: capital plus qualified people, manufacturing, engineering or delivery resources
  • Financial or strategic investor: funding for independently appointed management and qualified subcontracted delivery
  • Either model: agreed funding, accountable operating management and verified delivery capacity
  • Customer relationships and credible opportunities assessed as part of the commercial case

Where commercial upside can come from

  • A potential project pipeline pursued competitively, with no award guaranteed
  • Cross-capability integration within one FORCES Group
  • Specialist supply, sustainment and through-life service scope
  • Long-term enterprise value for all shareholders — an objective, never a promised return

Supplier and shareholder roles can be separate; a minority investor need not own a factory. Manufacturing, installation and maintenance providers are selected for each project by capability, actual service footprint, capacity, technical fit and total delivered cost. Interstate manufacture may be appropriate, without an exclusive shareholder-supplier arrangement.

Sector opportunities and planned Wellbeing

Four current technical capability areas

Where a future venture could build with FORCES.

Any new company would be separately formed, funded, operated and verified. Existing ADF and AFP delivery belongs to FORCES FITNESS, not Technology or a future venture.

Performance infrastructure

FORCES FITNESS

Delivery resources to contribute or secure: Fitout, manufacturing or installation capability for training facilities and deployable systems.

Accommodation, recovery, deployables & asset services

FORCES INFRASTRUCTURE

Delivery resources to contribute or secure: Funded access to qualified accommodation manufacturers, builders, local installation and maintenance services, plus container, trailer and vehicle specialists for broader deployable requirements.

Energy & power infrastructure

FORCES ENERGY

Delivery resources to contribute or secure: Licensed solar, storage and power delivery with an established installation footprint.

Defence, Security & Autonomous Systems

FORCES TECHNOLOGY

Delivery resources to contribute or secure: An established technical integrator or defence, security or autonomy operator with accountable staff, engineering capability, relevant licensing, OEM approvals and through-life service capacity.

A staged operating-partnership pipeline.

FITNESS is the first prospective minority transaction, not a completed deal. Other current divisions remain in the strategic pipeline. Planned FORCES WELLBEING — State Intelligence & Responder Support — is developing Responder by Forces, a future subscription-led platform, not commercially available or ready for investment today. Sustainable profits and long-term enterprise value are objectives for all shareholders, never guaranteed outcomes.
